Terms of Service

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User”, “you”, or “your”) and Msgie Ltd (“Msgie”, “we”, “us”, or “our”), governing your access to and use of the Msgie platform and related services (the “Service”).
By creating an account, accessing, or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.
If you are using the Service on behalf of an organisation, you represent that you have the authority to bind that organisation to these Terms, and references to "you" include that organisation.
2. Description of Service
Msgie is a business messaging platform that enables businesses to communicate with their customers via the WhatsApp Business API provided by Meta Platforms, Inc. (“Meta”).
The Service includes features such as:
- Send and receive WhatsApp messages via the official WhatsApp Business API (Meta).
- Manage shared team inboxes, contact lists, and message templates.
- Approved message template usage
- Automation workflows and chatbot functionality
- Access analytics, reporting, and integration tools.
Msgie acts solely as a technology provider and does not control or operate WhatsApp services.
The Service is provided on a subscription basis. Features available to you depend on your chosen plan. We reserve the right to modify, suspend, or discontinue any feature or aspect of the Service at any time with reasonable notice.
3. Accounts & Registration
To access the Service you must register for an account by providing accurate, complete, and current information. You agree to:
- Keep your login credentials confidential and not share them with any third party.
- Notify us immediately at [email protected] if you suspect any unauthorised access to your account.
- Accept responsibility for all activity that occurs under your account.
- Ensure your account details remain accurate and up to date.
You must be at least 18 years old to create an account. We reserve the right to refuse registration or suspend accounts at our sole discretion.
4. Acceptable Use
You agree not to use the Service to:
- Send unsolicited bulk messages (spam), phishing messages, or misleading communications.
- Transmit content that is unlawful, defamatory, obscene, fraudulent, or harmful.
- Violate privacy, intellectual property, or other rights.
- Interfere with or disrupt the integrity or performance of the Service or its infrastructure.
- Attempt to gain unauthorised access to the Service, its systems, or other users' accounts.
- Use automated scripts, bots, or crawlers to scrape, harvest, or extract data from the Service without our prior written consent.
- Reverse engineer, decompile, disassemble, copy, modify, or create derivative works of the Service, or otherwise attempt to discover the source code, underlying structure, or algorithms, or misuse the platform in any manner not expressly permitted under these Terms.
- Resell or sublicense access to the Service without our prior written agreement.
- Use the Service for any purpose that violates applicable local, national, or international law or regulation.
We may monitor use of the Service for compliance with these Terms and reserve the right to investigate suspected violations.
5. WhatsApp & Meta Policy Compliance
Your use of Msgie to send messages via WhatsApp is subject to the following Meta policies, which are incorporated by reference into these Terms:
- WhatsApp Business Terms of Service
- WhatsApp Business Solution Terms
- WhatsApp Business Messaging Policy
- WhatsApp Commerce Policy
By registering for or using Msgie, you confirm that you have read, understood, and agree to comply with all such policies at all times. Msgie reserves the right to update this list as Meta's policies change.
Msgie is an independent platform and is not affiliated with, endorsed by, sponsored by, or operated by Meta Platforms, Inc. or WhatsApp.
5A. Acceptance of Meta's Terms by You and Your Customers
5A.1 Your Obligation to Accept Meta's Terms
By using Msgie, you agree to Meta's WhatsApp Business Terms of Service and all related Meta policies. If you have not independently accepted these terms, by using Msgie you represent and warrant that you have done so, and that you have the authority to bind your business to those obligations.
5A.2 Your Obligation to Ensure Customer Acceptance
If you use Msgie to onboard or serve your own customers (e.g. as an agency or reseller), you must ensure that each such customer has independently accepted Meta's WhatsApp Business Terms of Service before they access or use WhatsApp messaging through your account or platform. If you cannot confirm this, you represent that you have accepted those terms on their behalf and that you have authority to do so.
5B. User Consent & Opt-In Requirements
5B.1 Mandatory Opt-In Consent
You may only send WhatsApp messages to individuals who have provided prior, explicit opt-in consent to receive messages from your business specifically. Consent must be:
- Freely given and not coerced
- Specific to your business, the message type, and the communication channel (WhatsApp)
- Obtained before any message is sent
- Clearly documented and verifiable
Pre-checked boxes, inferred consent, or consent obtained through other channels (e.g. email or SMS sign-up) does not constitute valid WhatsApp opt-in unless WhatsApp is explicitly mentioned at the point of consent.
5B.2 Consent Records
You must maintain accurate records of opt-in consent for all contacts in your account. Msgie may request evidence of consent at any time, and you must provide it promptly. Failure to produce consent records may result in suspension or termination of your account.
5B.3 Opt-Out & Withdrawal of Consent
You must provide a clear and simple mechanism for recipients to opt out of receiving messages at any time. Upon receiving an opt-out request, you must:
- Stop all messaging to that individual immediately
- Remove or flag them in your contact list accordingly
- Not re-add them to any campaign without fresh, explicit consent
5C. Message Content & Template Compliance
5C.1 Prohibited Content
You agree not to send, or attempt to send, any message that contains or facilitates:
- Spam, unsolicited bulk communications, or repetitive messaging
- Misleading, deceptive, or fraudulent content
- Harassment, threats, intimidation, or predatory conduct
- Content that exploits, endangers, or targets minors
- Promotion of violence, illegal activity, or self-harm
- Content that violates the Meta Commerce Policy or WhatsApp Business Messaging Policy
- Goods or services prohibited or restricted by applicable law or Meta policy, including regulated verticals (e.g. gambling, alcohol, financial products, pharmaceuticals) unless you have obtained prior written permission from Meta and complied with all applicable requirements
5C.2 Approved Templates
All business-initiated messages sent outside an active 24-hour customer service window must use Meta-approved message templates. You agree to:
- Submit templates only through proper Meta or Msgie channels
- Accurately categorise templates as Marketing, Utility, or Authentication
- Comply with Meta's template review and approval process
- Not attempt to circumvent template requirements through workarounds
5C.3 The 24-Hour Messaging Window
You acknowledge that WhatsApp permits free-form (non-template) messages only within 24 hours of a user-initiated message. After this window closes, only Meta-approved templates may be sent. You are responsible for ensuring your messaging activity complies with this rule at all times.
5D. WhatsApp Account & Platform Responsibilities
5D.1 Your WABA Responsibility
You are solely responsible for:
- Your WhatsApp Business Account (WABA) and all activity conducted through it
- The phone number(s) registered to your account, including ownership and verification
- All template submissions, approvals, and usage
- Maintaining compliance with Meta's messaging quality ratings and tier limits
- Any consequences arising from violations of Meta's policies
5D.2 API Credentials & Platform Access
You must not share, disclose, transfer, or expose any API credentials, access tokens, or certificates obtained through or in connection with your use of Msgie to any third party. Any breach of this obligation may result in immediate suspension of your account and will be reported to Meta where required.
5D.3 Customer Data
You may only access, use, and process the contact and messaging data of your end customers for the sole purpose of providing services to those customers through Msgie. You must not use such data for your own independent purposes, sell or transfer it to third parties, or use it in any manner inconsistent with Meta's terms or applicable data protection law.
5E. Regulated Verticals
Certain industries and message types including but not limited to gambling, alcohol, financial services, healthcare, pharmaceuticals, and political content are classified as regulated verticals by Meta and require prior written permission from Meta before messaging. If your business operates in a regulated vertical, you represent that you have obtained all necessary permissions from Meta before using Msgie to send such messages. Msgie reserves the right to suspend or restrict accounts that appear to be messaging in regulated verticals without the required permissions.
5F. Meta Enforcement & Platform Limitations
You acknowledge and agree that:
- WhatsApp message delivery depends entirely on Meta's infrastructure and is outside Msgie's control
- Meta may at any time, and at its sole discretion, restrict, suspend, or terminate your WhatsApp Business Account, limit your messaging tiers, block templates or campaigns, or take other enforcement action
- Msgie is not liable for any loss, disruption, or damage caused by Meta's enforcement actions or platform decisions
- Msgie will cooperate with Meta in any investigation or enforcement proceeding relating to your account
5G. Msgie's Compliance Rights & Enforcement
Msgie reserves the right to:
- Monitor messaging activity on the platform, including through automated and manual means, to ensure compliance with these Terms and applicable Meta policies
- Request proof of opt-in consent, template approvals, or other compliance documentation at any time
- Limit, throttle, suspend, or permanently terminate messaging capabilities or account access at its sole discretion, including in cases of suspected or actual violations
- Report violations to Meta where required or deemed appropriate
- Take any other action reasonably necessary to protect the integrity of the platform and ensure compliance with applicable policies and legal obligations
You acknowledge and agree that Msgie’s exercise of these rights shall not give rise to any liability to you, to the maximum extent permitted by applicable law.
5H. Indemnification
You agree to defend, indemnify, and hold harmless Msgie (Aaditya Technologies), its directors, employees, and agents from and against any claims, losses, damages, penalties, fines, or expenses (including reasonable legal fees) arising out of or related to:
- Your violation of Meta's WhatsApp Business Terms or policies
- Your failure to obtain valid opt-in consent from message recipients
- Any messaging content sent through your account
- Your customers' use of WhatsApp through your account or platform
- Any breach of these Terms by you or your customers
6. Subscriptions & Payment
Plans and billing: Access to the Service requires a paid subscription. Subscription fees are billed in advance on a monthly or annual basis, depending on your selected plan.
Payment: Msgie is a product operated by Aaditya Technologies, by subscribing, you authorise Aaditya Technologies to charge your designated payment method on a recurring basis at the start of each billing period. All fees are exclusive of applicable taxes.
For customers in India, GST will be charged at the applicable rate and reflected on your tax invoice. For customers outside India, services may qualify as export of services and may not be subject to Indian GST; however, you are responsible for any taxes, duties, or levies applicable in your jurisdiction, including under reverse charge mechanisms where applicable.
Usage-Based Charges:
Certain features of the Service, including WhatsApp messaging, may be subject to additional usage-based fees, including charges imposed by Meta or other third-party providers. You agree to pay all such applicable charges as incurred. All fees are billed in INR/USD unless otherwise specified.
Renewals: Subscriptions renew automatically at the end of each billing period unless cancelled prior to the renewal date. You may cancel at any time through your account settings. Cancellation will take effect at the end of the current billing period, and access will continue until that time.
Refunds: All fees are non-refundable except as required by applicable law. We do not provide refunds for partial billing periods or unused portions of the Service. If you cancel mid-period, you will retain access until the end of the paid term.
In exceptional circumstances, refund requests may be reviewed at our sole discretion by contacting [email protected].
Price changes: We may update subscription fees at any time. Where material changes are made, we will provide at least 30 days’ prior notice via your registered email. Continued use of the Service after the effective date constitutes acceptance of the revised pricing. If you do not agree, you must cancel before the changes take effect.
Failed payments: If a payment fails or is declined, we may retry the charge. If payment remains unsuccessful after a reasonable grace period, we reserve the right to suspend or restrict access to the Service.
Reactivation requires full settlement of all outstanding amounts. Prolonged non-payment may result in termination of your account in accordance with Section 14 (Termination).
7. Intellectual Property
The Service, including all software, technology, designs, graphics, text, documentation, and underlying systems, is owned by Aaditya Technologies, the legal entity operating Msgie, and is protected by applicable intellectual property laws in India and internationally. All rights not expressly granted herein are reserved.
Nothing in these Terms grants you any rights to use our trademarks, logos, brand features, or proprietary materials without our prior written consent.
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, and revocable licence to access and use the Service solely for your internal business purposes.
You agree not to:
- Copy, reproduce, modify, distribute, or create derivative works of the Service
- Reverse engineer, decompile, disassemble, or attempt to discover the source code or underlying structure of the Service
- Access or use the Service to build a competing product or service
- Remove or obscure any proprietary notices
We grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service solely for your internal business purposes in accordance with these Terms. This licence does not include the right to copy, modify, create derivative works, reverse-engineer, or sublicense any part of the Service.
Feedback: If you provide any suggestions, ideas, or feedback regarding the Service, you agree that Aaditya Technologies may use, modify, and incorporate such feedback without any restriction or obligation to you.
8. Your Content & Data
You retain ownership of all content, data, and materials you upload, import, or create through the Service ("Your Content"), including your contact lists and message templates.
By using the Service, you grant Msgie a limited, worldwide, royalty-free licence to host, store, transmit, and process Your Content solely as necessary to provide the Service to you.
You represent and warrant that:
- You have all necessary rights to submit Your Content to the Service.
- Your Content does not violate any third-party rights or applicable law.
- You have obtained all required consents from individuals whose personal data is included in Your Content.
We may process Your Content as your data processor in accordance with our Privacy Policy and any applicable Data Processing Agreement.
9. Confidentiality
Definition:
“Confidential Information” means any non-public information disclosed by one party (“Disclosing Party”) to the other (“Receiving Party”) that is designated as confidential or that reasonably should be understood to be confidential given its nature and the circumstances of disclosure. This includes, without limitation, business plans, technical data, product features, pricing, customer data, and API integrations.
Exclusions: Confidential Information does not include information that:
- Is or becomes publicly available through no fault of the receiving party
- Was already known to the receiving party at the time of disclosure, without restriction
- Is independently developed by the receiving party without use of or reference to the disclosing party's Confidential Information
- Is received from a third party who is not under any obligation of confidentiality with respect to such information
Obligations: Each party agrees to:
- Hold the other party's Confidential Information in strict confidence
- Use the other party's Confidential Information solely for the purpose of performing its obligations or exercising its rights under these Terms
- Apply at least the same degree of care it uses to protect its own confidential information of a similar nature, and in no event less than reasonable care
- Not disclose the other party's Confidential Information to any third party without prior written consent
Legal disclosure:
If a party is required by law, court order, or regulatory authority to disclose Confidential Information, it must, to the extent permitted by law, promptly notify the other party in writing before making such disclosure, cooperate with the other party's reasonable efforts to seek a protective order or other appropriate relief, and disclose only the minimum amount of information required.
Duration:
Confidentiality obligations under this section apply during the term of these Terms and continue for a period of 3 years following termination or expiry, except with respect to trade secrets, which shall remain confidential indefinitely.
Survival:
This section survives termination or expiry of these Terms.
10. Third-Party Services & Dependencies
The Service integrates with and relies upon third-party platforms and services, including but not limited to Meta Platforms, Inc. (WhatsApp Business API), payment processors, cloud infrastructure providers, and analytics services.
You acknowledge that:
- Msgie does not own, operate, or control any third-party service
- The availability and functionality of the Service may depend on the continued operation of these third-party services, particularly Meta's WhatsApp Business Platform
- Third-party services may be subject to their own terms, policies, outages, modifications, or discontinuation without notice to Msgie
- Msgie is not liable for any loss, disruption, or degradation of service caused by a third party, including but not limited to Meta account suspensions, API changes, template rejections, messaging restrictions, or platform outages
Where a third-party service you use through Msgie has its own terms of service or privacy policy, those terms govern your use of that service. You are responsible for complying with all applicable third-party terms.
Msgie will make reasonable efforts to communicate known third-party disruptions to affected users but is under no obligation to do so and cannot guarantee advance notice of changes made by third parties.
11. Disclaimers
To the fullest extent permitted by applicable law, the Service is provided on an "as is" and "as available" basis. Msgie makes no representations or warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, title, or non-infringement.
Msgie does not warrant that:
- The Service will be uninterrupted, timely, error-free, or completely secure
- Any defects or errors will be corrected
- Message delivery via WhatsApp will be guaranteed, as delivery depends entirely on Meta's infrastructure, messaging policies, and recipient device status
- Delivery reports, read receipts, or analytics data provided through the Service will be accurate, complete, or real-time, as this data is sourced from Meta and may be subject to delays or discrepancies
- The results obtained from using the Service will meet your expectations or business requirements
You acknowledge that your use of the Service is at your sole risk.
Third-party platforms:
The Service integrates with third-party platforms including Meta's WhatsApp Business API. Msgie makes no warranties regarding the availability, reliability, or performance of any third-party service, and disclaims all liability for any disruption, change, or failure of such services.
Trademark notice:
Msgie is an independent platform operated by Aaditya Technologies and integrates with the WhatsApp Business API provided by Meta Platforms, Inc. While Msgie is Meta-verified Tech Provider, it remains an independent service and is not owned, operated, or controlled by Meta.
12. Limitation of Liability
Exclusion of Indirect Damages:
To the maximum extent permitted by applicable law, Aaditya Technologies (operating as Msgie), its directors, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or in connection with your use of or inability to use the Service, including but not limited to:
- Loss of profits, revenue, or anticipated savings
- Loss of data, or corruption or loss of data integrity
- Loss of goodwill or reputation
- Business interruption or loss of business opportunities
- Any losses arising from Meta’s actions or enforcement, including suspension or termination of your WhatsApp Business Account, template rejections, messaging restrictions, or API changes
- Any failure, delay, or disruption caused by third-party services or infrastructure beyond our control
This exclusion applies regardless of the legal theory (contract, tort, or otherwise), and even if Aaditya Technologies has been advised of the possibility of such damages.
Aggregate Liability Cap:
To the maximum extent permitted by applicable law, the total cumulative liability of Aaditya Technologies arising out of or in connection with these Terms or the Service shall not exceed the total fees paid by you to Aaditya Technologies in the three (3) months immediately preceding the event giving rise to the claim.
User Messaging Content & Compliance:
You acknowledge that you are solely responsible for:
- The content of all messages sent through the Service
- Obtaining valid user consent (opt-in)
- Compliance with applicable laws, regulations, and Meta policies
Aaditya Technologies shall not be liable for any claims, damages, regulatory actions, penalties, or losses arising from your messaging practices, including but not limited to unsolicited messaging, failure to obtain consent, or violations of applicable laws or Meta policies.
Service Availability & Third-Party Dependency:
The Service relies on third-party platforms, including Meta. Aaditya Technologies shall not be liable for any failure, delay, disruption, or degradation of the Service caused by third-party systems, outages, or changes beyond its control.
Exceptions:
Nothing in these Terms limits or excludes liability for:
- Death or personal injury caused by negligence
- Fraud or fraudulent misrepresentation
- Any liability that cannot be limited or excluded under applicable law, including the Consumer Protection Act, 2019 (India), where applicable
13. Indemnification
To the maximum extent permitted by applicable law, you agree to indemnify, defend, and hold harmless Aaditya Technologies (operating as Msgie), its directors, employees, contractors, agents, and affiliates from and against any and all claims, demands, actions, damages, losses, liabilities, fines, penalties, costs, and expenses (including reasonable legal fees) arising out of or related to:
- Your use or misuse of the Service.
- Your violation of these Terms or any applicable law or regulation.
- Your violation of Meta’s WhatsApp Business Terms of Service, Messaging Policy, or any other applicable Meta policy
- Any claim, action, or enforcement initiated by Meta, WhatsApp, or any third-party platform arising from your use of the Service
- Any content you or your customers transmit through the Service, including claims related to unsolicited messaging, failure to obtain valid opt-in consent, or unlawful messaging practices
- Your infringement or alleged infringement of any third-party intellectual property, privacy, or data protection rights
- Any claim brought by a recipient of messages sent through your account, including claims related to spam, harassment, or unauthorised communications
Indemnification Procedure:
Aaditya Technologies will notify you promptly of any claim for which indemnification is sought.
You shall assume control of the defence and settlement of such claim at your own cost, provided that:
- Aaditya Technologies reserves the right to participate in the defence with counsel of its own choosing at its own expense
- You shall not settle any claim that imposes any liability, obligation, or admission of fault on Aaditya Technologies without its prior written consent, which shall not be unreasonably withheld
You agree to fully cooperate in the defence of any such claim.
Survival:
This section shall survive termination or expiry of these Terms.
14. Termination & Suspension
By You:
You may close your account at any time through your account settings. Closure will take effect at the end of your current billing period, and you will retain access to the Service until that date. No refunds will be provided for any unused portion of the subscription.
Suspension by Us:
We may, at our sole discretion, suspend or restrict your access to the Service (in whole or in part), with or without prior notice, if:
- Payment is overdue or a payment method fails and remains unresolved after a reasonable grace period
- We suspect a breach of these Terms or misuse of the Service pending investigation
- We are required to do so by applicable law, regulation, or Meta policies
- Your use of the Service poses a risk to the platform, other users, third parties, or compliance with Meta requirements
- Immediate action is necessary to prevent harm, abuse, or regulatory exposure
Where reasonably practicable, we may notify you of the suspension and provide an opportunity to remedy the issue, but we are not obligated to do so.
Termination by Us:
We may, at our sole discretion, terminate your account immediately, without prior notice or liability, if:
- You commit a material breach of these Terms that is incapable of remedy, or fail to remedy a remediable breach within 14 days of written notice
- You repeatedly violate Meta’s WhatsApp Business policies despite prior warnings
- We are required to do so by applicable law, Meta, or any competent authority
- We determine that continued provision of the Service would expose Aaditya Technologies (operating as Msgie) to legal, regulatory, security, or reputational risk
Effect of Termination:
Upon termination or expiry:
- Your right to access and use the Service ceases immediately
- All outstanding fees and charges become immediately due and payable
- You may export your data within 30 days from the date of termination, after which your data may be deleted in accordance with our Privacy Policy
Where termination occurs due to a breach of these Terms, suspected fraud, abuse, or legal/regulatory requirements, we reserve the right to restrict or deny data export where necessary to comply with applicable law, enforce these Terms, or protect the integrity of the Service.
No Liability for Suspension or Termination:
To the maximum extent permitted by applicable law, Aaditya Technologies shall not be liable for any loss, damage, or claim arising from the suspension or termination of your account in accordance with these Terms.
Survival:
The following provisions shall survive termination or expiry of these Terms: Intellectual Property, Confidentiality, Disclaimers, Limitation of Liability, Indemnification, Governing Law, and any other provisions which by their nature are intended to survive.
15. Governing Law & Dispute Resolution
Governing Law:
These Terms are governed by and construed in accordance with the laws of India, without regard to its conflict of law principles.
Informal Resolution:
Before initiating any formal legal proceedings, you agree to first contact Aaditya Technologies (operating as Msgie) at [email protected] with a written description of the dispute.
Both parties agree to attempt to resolve the dispute in good faith within 30 days of such notice.
Arbitration:
If the dispute is not resolved within the above period, it shall be referred to and finally resolved by binding arbitration in accordance with the Arbitration and Conciliation Act, 1996 (India).
- The arbitration shall be conducted by a sole arbitrator mutually agreed upon by the parties, or appointed in accordance with the Act
- The seat and venue of arbitration shall be Mumbai, Maharashtra, India
- The language of arbitration shall be English
- The arbitral award shall be final and binding on the parties
Each party shall bear its own costs of arbitration unless otherwise determined by the arbitrator.
Court Jurisdiction (Limited):
Notwithstanding the above, either party may approach the competent courts in Mumbai, Maharashtra for:
- Interim or injunctive relief
- Enforcement of any arbitral award
Such courts shall have exclusive jurisdiction for these limited purposes.
International Users:
If you access the Service from outside India, you acknowledge that your use is governed by these Terms and Indian law.
However, nothing in these Terms limits or excludes any rights you may have under mandatory consumer protection or data protection laws of your jurisdiction that cannot be contractually waived.
EU/UK Users:
If you are located in the European Union or United Kingdom, you may have the right to bring proceedings in your country of residence under applicable consumer protection laws. Nothing in these Terms affects those rights.
16. Changes to These Terms
Aaditya Technologies (operating as Msgie) reserves the right to modify or update these Terms at any time. Changes may fall into the following categories:
Non-Material Changes:
Non-material changes, including typographical corrections, clarifications, formatting updates, or changes to links and references, may be made at any time and will become effective immediately upon posting. The updated Terms will be made available on the website with a revised “Last Updated” date.
Material Changes:
Material changes that significantly affect your rights or obligations, including changes related to pricing, liability, or data handling, will be communicated to you via your registered email address and/or through a prominent notice within the Service at least 14 days prior to the effective date.
Regulatory or Compliance Changes:
Notwithstanding the above, we may make changes with immediate effect where required to comply with applicable law, regulation, or changes in third-party platform policies (including Meta policies). Where practicable, we will notify you of such changes.
Acceptance of Changes:
Your continued use of the Service after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Service and close your account before the changes take effect.
